Problem is you cannot really install dot.net 2 or greater on CE 4.2 .
Dot Net 2 has minimal requirements of CE 5
VS 2008 can only build for CE 5 and upwards.

Better you use Visual Studio 2008 Professional (it has to be professional edition)
You can download a trial edition from msdn.microsoft.com
With it you can create mobile application with compact framework 3.5 (vb.net and C#). I suggest C# instead of vb. You will find more code at internet.
