I don't think that's possible I'm afraid - I guess the closest you may be able to get would be to distribute the Visio file 'wrapped' with something to protect it; one example would be to create a password protected self-extracting archive with something like ZIPGenius for instance (http://www.zipgenius.it/e

Yes - You should be able to use the 'Protect Document' command to lock down various elements of the diagram including the Styles, shapes and backgrounds etc.
