How to merge two companies onto one network with two domains, and design/configure the network?

INTRODUCTION
Currently, we have a main office with 4 Dell servers (Windows 2000) and 1 IBM iSeries (ERP System), and a warehouse 30 miles away with 5 users.  The two locations are connected through a point to point.

The company I work for is in the last stages of acquiring another company.  The new company will be moving its warehouse, and employees, into our warehouse.  This will increase the users to 25 at the warehouse.  The companies ERP system and other servers will be moving into the main office.

Both the current company and the new company have better technologies in certain areas.  For example, the current company uses Exchange for e-mail, while the new company uses a web host and POP3.  The new company has a much better ERP system that is windows based, while the current company uses Infor on the iSeries.

I want to merge the two networks.  The current company will be moving to the new companies ERP system (Jan 1, 2009).  The new company will need to utilize the current companies exchange server.


NETWORK CONFIGURATION
I have attached the current network configuration to this post as a JPG file.

I walked into the current companys network a few years ago, and to say the least it is a mess.  The servers are old and exhausted.  The network is not configured correctly (old migrations from Exchange 5.5 and incorrect removal of DCs have caused a lot of quirky problems within the network).

I ordered two new servers and a 42U rack from Dell.  I want to create the new network on the side, and then when the acquisition happens, merge everybody onto the new network.  I will only be taking their ERP server and file server over to the new network.  I will copy their AD users and put them on the new AD.

New Network Specs:
"      Servers: Dell
"      Operating Systems: Windows 2003 Server
"      Mail Server: Exchange 2007
"      Switches: 1 GBit

I have the following questions:
"      What IP schema should I use for the two locations?  (i.e. 192.168.0.x / 255.255.255.0 Main Office, 192.168.1.x / 255.255.255.0 Warehouse)
"      As for the two domain names that will need to be on the same network to utilize Exchange, how would you design the AD?  (i.e. newcompany.com and currentcompany.com in the same forest, each their own tree)
