Sharepoint batch query - always have error "Invalid URL Parameter"

guys,

I am trying to perform batch on sharepoint by using the ProcessBatchData APi
the problem is that always I see the following error:
<ErrorText>Invalid URL Parameter
The URL provided contains an invalid Command or Value. Please check the URL again.</ErrorText></Result>
Attach a sample of the batch xml input
in the sample I gave a prefix "'urn:schemas-microsoft-com:office:office#" for each of the fields
if I remove it - I have the same problem :-(
Also, i tried to use the <SetVar> tag instead of <Field> but with no success

Can anyone see the problem ?
