Photoshop CS2 freezing on launch

I've been using Photoshop 7 and Photoshop Elements 5 for some time now with no problems.
I've recently got a full version (tryout) of CS2.
It installed without a hitch but when I launch it, everything appears to be OK (I get the message saying you have 28 days left etc) but it then freezes.
I can't access any of the menus or even click the toolbars.
The only way to get out is via Task Mgr.
I know the program is OK as it works ok on two other computers.
I therefore need to track down the problem on mine.
Here are some details:
I have a DELL 9200 with a Duo Processor 2.4GHz, 4MB of RAM, 500GB system disc (RAID 0 stripe) so I don't think it's a performance problem!
I'm running XP Pro SP2 plus all current updates.
When I launch CS2 I can see from Task Manager that the Photoshop.exe process appears and uses about 2-8% of cpu during loading.
However, as soon as it is loaded, when I would expect the cpu usage to reduce to zero again, it rises to 50% and stays there and the application immediately says "not responding".
I need to find out what is causing this so any help will be much appreciated.
I also have Photoshop 7.0 and it works perfectly.
I have compared all settings and set my PC for "Performance" (programs) and increased the paging file to 3x RAM size but still the same.

Have you tried running photoshop in safe mode to see if it workS?  I've found out that when a problem occurs, the first bet is to run it in safe mode and see if the problem stays the same or if it's fixed.  Based on this you can either exclude or pinpoint a trouble area.

Thanks for the suggestion.
I've already tried Safe Mode and the problem is just the same.
I've also tried with everything else turned off, i.e. virus checker, firewall etc.

normally this happens due to the corrupted preferences folder of photoshop present under the C:\Documents and Settings\usernam\Application Data\adobe folder

but as this was a fresh install.....i suspect that it can be the issue......but may be its the preferences of photoshop7....i mean may be possible....try uninstalling ps7 or atleast resettings its preferences and settings and then check for the problem.

CS2 is not fully loading. The program is caught in a loop as it tries to access a resource that is corrupted. This is why you can't regain control and your cpu usage spikes.

You will need to uninstall and reinstall the program. With some luck, whatever got corrupted the first time will correct itself.

However, uninstalling CS2 does not entirely remove all of the CS2 files (otherwise you could uninstall and reinstall the program every 30 days) But hopefully this will work.

I see this question has pretty much been abandoned but I just wanted to say that SheharyaarSaahil's answer correct a very similar problem that I was having. Photoshop CS2 would load to a point and then just hang. this information might help others who have the same issue and find this post. However, just a little to add, the folder location is correct to a point but it doesn't tell you what to do when you get there, what I did was to browse to the following directory:

C:\Documents and Settings\usernam\Application Data\Adobe\Photoshop\9.0 you should see a folder called 'Adobe Photoshop CS2 Settings', I just renamed this folder to 'Adobe Photoshop CS2 Settings_old' and relaunched Photoshop. Problem solved.

Agreed with the last comment.  Adobe will rebuild the preferences files for any user once the files have been sperated or deleted from the preferences folder.
