Exchange 2000  New Hardware and software upgrade.

We have an exchange server which we want to move onto a new box.   May also consider upgrading to Exchange 2003 as part of that process.  First question may make this moot.  Can we run exchange 2003 in a windows 2000 AD environment (we are not yet ready to move to 2003 DCs)?  I think it has to be on a 2003 server, but unclear about the AD.

If we can run it in a windows 2000 domain:

----Should we move Exchange 2000 onto the new box, then just do an inplace upgrade on exchange?(have posted a seperate question about the hardware mov, see: http://www.expertsexchange.com/Networking/Email_Groupware/Exchange_Server/Q_21193354.html
-----or should we install exchange 2003 on the new box, then migrate exchange to it?  Pointers to good guides on migration?  Any gotchas to watch out for?  Step-by-step walkthru of how you did it on your network in real life gets the most points
