Microsoft got rid of a lot of the upgrade licenses due to litigation...some of the companies going under were citing that it was unfair competition. There even used to be a competitive upgrade from WordPerfect to Office 2000. A company I worked for used that to save nearly 2/3ds of their licensing costs.
They now have Enterprise Agreements and the Open License Agreements that allow for upgrades...but it is a program versus purchasing an application, using it for 5 years (NT 4 and Exchagne 5.5) and then upgrading two revisions later. It kind of sucks...it is expen$ive for small companies, but it is very cost effective for large companies.

You have two full version of Exchange. One standard and the other enterprise. You should be able to sell you standard version. If you want microsoft's ok on this, you could call (800) 426-9400 (Microsoft licensing group).
