Basic Exchange 2000 setup questions

In our organization's network, the need for Exchange Server has come up. Our network is running on workgroups right now, and everyone has their own POP3 email.  We might be considering migrating our network over from workgroups to domains in order to get Exchange server up and running. The main reason for it is so that people can access their email remotely via VPN. There's only maybe 7 users to configure. Nice and small.

Okay so here's my questions:

-1) We have windows server 2000 right now, just without domains turned on. I have no idea what we have in the way of CALs. How many does Server 2000 normally come with by default and how can I doublecheck?

0) Once you're on a domain, can guests who haven't joined the domain still connect to the network and get at the internet?

1) What exactly IS exchange server? Is it a whole OS? Or just a program? Do we have to buy a whole new server, or can it be installed on the same Windows Server 2000 machine we already have?

2) How does exchange server actually send and receive emails? Is it a wrapper for POP3? Or how? The company has their own @xyzcompany.com domain, so how will we be able to send/receive and keep the same name?

2) How do you go about migrating from workgroups to domains on Windows Server 2000? It's a very basic environment - less than 10 users, no real security concerns, All we need is for people to be able to login just like they were doing before.

3) Where can I get my hands on Exchange Server 2000 with a few CALs? Where do you buy it besides eBay? I know 2007 is the latest and greatest, but we have a Windows 2000 server, and we won't need to fancy features. Hopefully 2000 will be cheaper and more compatible.
