I have a mandate to look at the upgrade plan for our Cold Fusion Server 3.1 to 4.5. What is the impact for the web site created under 3.1 ? What area should I look at to ensure a smooth upgrade ? Does it require a lot of re-programming or it is fully backward compatible ?

Not to sound crazy, but to do what you're contemplating is like going from a horse and buggy to a cadillac. There are more issues to consider than I can explain in one message. One of the best things you can do is visit Allaire's knowledge base and read each "What's new" article for each upgrade. In all, I would say 99% of your code should translate without major problems.
There are a few things to think about: CF 3.1 has some CFX custom tags that are no longer available in newer versions, such as the ones that make pie charts, graphs, etc... You can still use them in 4.5, but they won't be installed (so, back yours up first!).
Now, there are also more advantages than disadvantages -- do you realize how many great features have been added? If not, you're in for quite a nice treat ;-)
