upgrading 2000 server to 2003 server fails on VMware

I have a new ESX 3.02 server that I have converted a 2000 web server to a virtual machine. The conversion went great. Now I am trying to upgrading 2000 to 2003.  Both times I get an error at the beginning that Winlogon has changed. not sure if this makes a differnce. When the upgrade is done some functions do not work like...
- not able to see some tabs when I right click on folders.
- not able to see network shares

I build a 2003 VM machine with the same software and it works fine. it's just when I upgrade it from 2000 that the errors start.Start Free Trial
