Migrating from MS Virtual Server 2005 R2 to VMWare VI3

Hey Experts,
I have been tasked with what I think is a complicated migration from MS Virtual Server R2 to VMWare VI3.  Currently, we have 2 Win2003 Ent servers in a cluster with an iSCSI SAN, which is running MS Virt Serv R2 in a HA cluster.  I have now been approved to change everything over to VI3 Enterprise, but I cannot purchase any new hardware.  The clustered servers have to be used as the ESX Servers, with VirtualCenter eventually running virtualized on them.  I am trying to figure out the deployment plan, but I need a little help.  Firstly, should I import the MS VMs as the .vmc file, or should I be doing a live migration using VMWare Converter?  Secondly, can I import or migrate my servers without having an ESX server live, and then move the converted VMs to the ESX when I deploy?  Thirdly, what about the SAN?  Currently, it has 2 partitions, both formated in NTFS.  These partitions hold the .vmc, .vnc, and .vhd files of the current VMs.  How can I get these files off the SAN so I can re-partition/format in VMFS?  Any help would be great, and seeing as this is a live environment, I need to be exceedingly careful in the migration.  Thanks guys!
