Deresh, with yours I get:
"Warning: preg_replace() [function.preg-replace]: Unknown modifier '<' in /home/phpshare/public_html
And RQuadling, I did need the other parts captured because I just wanted it to return the filename, not the text around it.
So I modifyed RQuadling's source to:

$file = "I've got some <code src='code.txt' /> here";
$file = preg_replace("`(.*)<code src='(.*?)' />(.*)`sim", "$2", $file);
echo $file;
?>
and it worked.

But in the preg_replace, you don't need even need to get the text around it. You are replacing ....
<code src="code.txt' />
with
code.txt
The other bits are not touched (you don't use $1 or $3), so the capture is not required here.
Its like replacing a substring in a string. You only need to say what you are replacing.
