Computer won't run MsSetup

I recently modified my development machine by installing networking under WFW.  When I finished the process, I found that SETUP.EXE won't run.  It detects a "conflict" even tho there are no other apps running.  I cannot run the setup's I was developing a few days ago, nor can I run SETUP from a 3rd party disk which I happen to know uses MsSetup.
  What is SETUP mis-detecting, and how can I get back to development?

added: The message is the standard "Setup has detected a conflict with a running application.  Quit all applications and try again."  (or words very close to that.)

I've run in to this before.  I solved it by 1) Exiting Windows commenting out ALL load= and run= paramaters in the WIN.INI.  Restart windows and attempt to install,  In my care is was CTL3D.DLL.  A third party app was calling the DLL.  Although the app was not running at the time, the DLL was still resident in memory.  The MsSetup was detecting the DLL in memory.  Later on I proved the problem using a DLL manager.  

P.S. remember to un-comment out your WIN.INI after the install.
