if a .dbf files contains a field with a field type of "M". then an associated .DBT (For DBAS/CLipper) or .FPT(Foxpro) memo file is expected.  You may be able to avoid the message by merely creating a file with the same proper name and an extension of .FPT in the same directory as your .dbf file.  You should at least check the field types in your .dbfs to see if any are a memo type.

I recommend you get the latest version of DBFLOOK off the net (FilePile has it) and use it to examine your .dbf files.  If you register it, you also get a program that will allow you to examne and modify your .fpt files as well as a ton of other good .dbf repair and analysis tools.
