You can find a complete source code example as well as a complete visual basic project that does just this at

It's The 9th item on the list and is called:
"Display a form in the system tray with no other icon"

I have an ActiveX control that you just pop in your program, give it an icon to display, and tell it what to do when someone clicks on the icon in the system tray. If you want it, just email me at skiprosebaugh@cyberdude.com and I'll send it to you.
