I have Asus SP97 motherboard in my system and now I want upgrade it to MII366....it's possible for me to do that.

No. Your Bios will not recognise the chip and I do not believe that the appropriate voltages are available on the motherboard.
Try the Asus P5S-B.

As expected, you have a regular Socket 7 mainboard, not a Super 7. It won't work with the dual voltage (MMX-style) CPUs.
