If You are  using Windows
there will be  some  problems with the new K6-3 processors or K6-2 processors over 350MHz and agp cards if any.
There is no problem to replace the old motherboard with new one it will work and will be compatible with the older but faster. The old 64Mb ram can be replaced with 128Mb if you wish but if you are using  DIMM which works at 66Mhz you can get 64Mb or 128Mb but PC100 which will improve the performance
It is important to ask for compliance of AGP and Processor becuase there can be some problems.
