modem installation

This is my problem, I have a Presario 5345 and I am trying to install a new USR Winmodem( the second modem I have tried to install, both different companies). The problem is that when I have the modem in the PCI slot ready for WIN 98 to find it during boot up the computer will freeze when loading the startup files and will just hang and will not budge. I have to restart with the modem out of the machine and it starts fine. Now if after a successful cold boot I do a restart and slip the modem into the PCI slot when the system is powering down it will detect the modem fine and install it perfectly, I can use it no problem. Now, upon restart the modem still works fine, but if I do a cold boot the computer will freeze during the bootup process again. I can't understand why the computer will only freeze on a cold boot and work fine on a restart. There are no resource conflicts, I have disabled everything in the startup menu, except what is absolutely neccessary, I have even disabled the on-board sound because I thought that might be a conflict, but still no success. The other problem is with Compaqs pitifull bios options, it gives the user almost no control. If anyone has come across this type of problem and can help me I would appreciate it.

Sounds like a windows problem to me.
I have win98 and if I uninstall my modem (USR Sportster 33.6) and boot, my system hangs up as well.
I restored the modem using scanreg/resore and that was the end of it.
if u ask me, you windows is screwed..
try to rename its directory, and to re-install in a new directory.
then, on a clear windows, see what happens.
if that does not work, u can always delete you newly installed windows and to rename you old windows back.
