Download music match jukebox.  It has the convert untility with it.  Also, you can find some useful tools at www.mp3.com

There are many free encoders at

http://winfiles.cnet.com/apps/98/sound-mpeg.html

Have a good look through because some are freeware (totally free) and others are shareware which means that there are a trial version.

CDEX is also a good utility.  It allows you to convert cd tracks to wav or mp3's as well
