Checkout this Microsoft link
http://www.microsoft.com/TechNet/exchange/tools/AppFarm/Develop/aclcom.asp

It covers using CDO 1.2.1 and Active X.

Consider creating your COM object as a full blown control. This means it can be used in the Resource Editor pallette and be drawn onto forms. It allows property pages to be exposed to the VStudio IDE for easier setup and allows it to be used with other COM compliant software e.g. Visual Basic.
Best aspect of the full control is it allows asynchronous event notification to the client window, which is particulary useful when talking to exchange server.
