is there a way to have a real time spell checking textbox (like how word
does it) in outlook XP when writing up a task?

Turn on Word as your e-mail editor.

Go to TOOLS>OPTIONS
Select the Mail Format tab and check the box labeled "Use Microsoft Word to edit e-mail messages".

Sorry, I missed that part.  No, there is no way to do that in a task.  The best you can do is hit F7 when finished (spell check), or if you are assigning the task (which means it will be sent via e-mail), you can ensure that it is spell checked automatically before sending:

In the Outlook Window, go to TOOLS>OPTIONS, go to the Spelling tab and select "Always check spelling before sending".

what about creating a custom form with a word control on it. is there a word control (with realtime spell checking)out there?

no seperate control but you can use automation to use word spelling control like
