I read somewhere that there were about 5000 bugs corrected from 98 to 98se.  But there are some other differences too. Here is a good page summarizing many of them:

As to how you upgrade, you need to get the upgrade version of the 98SE install CD.  (If you use the full install version, this is normally for a formatted hard drive with no previous OS on it, although there are tricks that may get it to install over a previous version of the OS.)

And as to whether it's worth upgrading, it depends upon whether you need some of the new features, such as internet connection sharing or better USB support.

Actually I believe everything except the Internet Connection Sharing is available from the Win98 update site. So unless this (ICS) is something you need then just go get all the latest updates from MS's site and save your money.
The biggest difference besides a bunk of security updates is USB support in 98 se which will automatically recognize certain devices like digital cameras with out having to reboot. If you want to use a usb connection to hook up to you cable modem windows 98se will support this and 98 will not other than that not really much difference
