Service Packs and Bios

Machine:Asus A7 MB, AMD Athlon 1200, 512M DDR, g3128 Video, 40G IBM, 80G WD
Previously operated Win2K SP3 - no trouble
Win 2K started to lock after boot to desktop.
Disk diagnostics said partition out of alignment
Reformatted to NTFS (previously FAT32 dual-boot on 2nd partition)
Fine
Installed DSL software to get to Net
Fine
Install SP3
reboot - Blue screen will not boot because bios does not support current ACPI

At one point, recieved message about possible memory failure. Bios was seeing all 512, then only 256, then 512 came back.

Why did sp3 work previously with same BIOS version, but not now? NTFS?

Could Power Supply be close to failure causing bad (low and high) voltages?

Could be either power supply of motherboard.  Try booting from Win2k CD and repairing your current installation.

Your 100% that yoru using the right DDR speed for the computer, right?  The motherboards bus may say it can take DDR400, but this does not always directly translate to the RAM which might only be able to take DR333 at the most.  This is mostly a problem with AMD or Gigagyte mobo's.  Also try and re-flash the BIOS to update all versions.

Flashed BIOS
Win2K liked new bios
Booted to Win2k
Operating system would respond to operations like disk defragmenter, but would hang on control panel.
Booted to 2k disk to repair intall.
Disk could not repair because it could not see any win2K installation, but
as reinstall progressed, disk asked if I would like to install into the same folder (c:\winnt) or new folder.
I selected same folder.
Install wiped previous install of course.
Went through all necessary add-ons (graphic drivers, system drivers, etc), dsl software, got on net, downloaded Win2k SP3, rebooted.
Operating system would respond to operations like disk defragmenter, but would hang on control panel.
Rebooted several times - system hangs.

Swapped placement of Memory- 1 256 stick Samsung in Dimm 0,
1 256 stick Kingston in Dimm 1 - no difference.
BIOS update revision noted a fix to Samsung DDR problem.

Have you applied all the post SP3 patches?  SP3 attempted to do an lot, and not very well.  Otherwise you may have to upgrade to XP.  I would get a trial version to make sure it works before handing over the $$$

Went through all suggested updates on Microsoft site, until 0 left.
My intent is to get the 80G working with a stable OS, then transfer 30G of "crap" to the 80G from the 40G, then install xp on the 40. Then both drives will see each other, and they would also operate independantly.
Maybe my plan is goofy, but that's how I'd like it to work.
Next step is to reformat entire drive and re-install, but not sp3 - maybe sp2

Booted from win2K cd - repaired installation win 2K sp3
Booted to installation - same situation - system hangs
Totally reformatted drive to NTFS again
reinstalled win2K sp0
no problems

I'm guessing sp3 has major problems
