Top Level Dialog

I am an MFC Application which is CDialog based.  From this dialog app I am creating top level windows.  I do this by creating a new dialog and calling Create manually so that it's non Modal.   Everything works fine except 2 things.  First, I don't have an Icon on the taskbar for the new window.  I am calling SetIcon for both large and small icons which is working.   Second, when I click on the main window that is partly covered, the program beeps.  Instead, I would like this second window not to interfere with the operation of the first.   I can, however, click on a button on the first that is exposed and create another window so it is receiving messages.
