How big is C drive.
Do w2k got access to the C drive ?

If C is small or w2k has no access to C drive, you need to change install path for Apache to D drive, if it defaults to C.
Download the latest MS installer from MS and reinstall it, to make sure no files needed by the installer is corrupt.

Thanks, I spent two days trying to figure out what is going on here.  My drives, MS installer are fine. The file I downloaded I think should be in the same drive as OS and most important thing is I am at back of ZoneAlarm, for some reason Apache does't work with ZoneAlarm. Right now it works fine.

What do you mean Apache dosen't work with zone alarm ?

Just allow all traffic from anywhere to port 80 in zone alarm and Apache should work great.
