It looks like it is dying after installing sp4.
But when we reinstall sp4 (the system says it has sp3)
It hangs now for 15 minutes with a install
"running processes after install"

My E2K server died after installing SP4 - not exactly the same symptoms, but I ended up having to completely reformat and reload the machine, still haven't attempted to put SP4 back on.  If you look in Microsoft's newsgroups, you'll see multiple problems regarding installation of SP4.  I had no problems on any server other than my Exchange server.  You might look in those newsgroups (which are very difficult to deal with - lousy search engine) and see if you see your particular problem.  Maybe you'll get lucky and there will be a solution short of reinstallation.  Good luck!  Wish I had better advice to give you...
