Visual Studio problem................ 'The File selcted is not a valid solution File.' (error)

Hi,
Got a slight problem a friend of mine had started work on a project in Visual Studio 2002 and whilst working on it upgraded his version to Visual Studio 2003.  
I have a copy of Visual Studio 2002 and have tried opening this project but get the following error 'The File selcted is not a valid solution File.'
i have manually tried opening the solution and project file but cannot do so ... dunno what the problem is ?????
can anybody help????

Visual Studio 2003 does not recognize 2002 project. However, there are utilities that do this for you.
