Cannot run secpol.msc (WinXP Pro)

When I attempt to run secpol.msc, I get the following error msg:

Snap-in failed to initializ.
Name: Group Policy
CLSID:{8FC0b734-A0E1-11D1-A7D3-0000F87571E3}

Any idea why and any recommendation on how to fix it?

Sounds like an environmental variable issue..    Let me see...
