what is the difference between the refresh edition and regular edition of visual studio .net

I have noticed that some retailers of visual studio .net sell a refresh version for about $750 and a regular version for $900.  They are both new (not upgrade) licenses and have different part numbers (659-01567  for the refresh edition vs 659-01131 for the regular edition).

What is the difference between the two versions other than the price?
