    I guess the practical answer to this question is "when the recipient thinks it is spam".

    If an unsolicited email (not opt-in) makes it past spam filters into a users inbox and they subsequently report it as spam (either by accident or because they haven't read it properly) then it might as well be spam.

    For example some webmasters will consider all auto-generated link requests as spam and report them as such even if it has an opt-out.
