Inplace upgrade of exchange and server 2000 to 2003

I have a windows 2000 server (domain member) running exchange 2000 and i'd like to upgrade both the server OS and exchange to 2003. What's the best upgrade strategy for this and is there any gottas to be aware of?

DC - Windows 2003

Windows 2000 Server - NON AD, SP4, Exchange - SP3 plus up to date hotfixes
