Not sure if it uses Exchange like the old Exchange 2000 IM but guess I'm mainly wondering if it can run on an Exchange box or better w/a sharepoint server?

Well, having read most of the MS documentation I can find nothing to say that you can't run it on an Exchange or Sharepoint server.  But, there again, there's nothing to say you can, either!

Are you happing running two SQL Server database applications on the same box?

Looks like LC itself runs on MSDE but archiving would be SQL.

OK call me stupid but is Exch running SQL or MSDE?
