Win98 Network problems. Windows cannot load the file ndis.VXD that loads the drivers for the device

I went to install Cable telewest broadand on a win 98Se machine all was fine until after installing the USB cable modem. the driver appears to install fine the device is detected when you plug it in to USB and windows displays the familiar screen "windows is building a driver information database". But after installation i see a conflict symbol in device manager and under the properties, i get the following message

The device is not working properly because Windows cannot load the file (ndis.VXD) that loads the drivers for the device (code 8)

To fix this problem run windows setup again from your windows CD-ROM.

i then thought i'd test my dial-up modem to see if it's a windows problem or a problem with the device.

The modem uses phone dialer fine to call numbers. I then went to set up a dial-up account and upon completion windows said it needed to install Microsofts Dial-up Adapter, which it did but same as other modem problem, shows a conflict symbol in device manager and same message as above.

Any ideas?

Sorry the Motorola cable modems error in the device status is as follows

The device is not working properly because Windows cannot load the file (ndis.VXD, ntkern.VXD, ndis.VXD) that loads the drivers for the device (code 8)

To fix this problem run windows setup again from your windows CD-ROM.

not sure if that changes anything?
