How many Domain Controllers do you have and did you make sure that successfull replication took place after forestprep and domainprep? Here is what I mean:

This issue may occur because the changes made to the forest have not been replicated to all DCs. Please follow the steps below to manually replicate the changes:

1. On a DC, open Active Directory Sites and Services.
2. Expand Sites-><site name>->Servers.
3. Expand each DC->NTDS Settings.
4. Right-click on each entry in the right pane and click Replicate Now.

After this, please try to install Exchange again.

You can go into Exchange System Manager
Expand the server and expand Storage Group 1
There you can try to delete the information store.

Have you uninstalled exchange from that machine (using /removeorg) before this installation?

I uninstalled exchnge 2003 ans run the forest prep and domain prep again and reinstalled back again.

And now it works fine.
