Can I swap out my (2) AMD Opteron 64 processors for (2) dual-core AMD Opteron 64 processors without screwing anything up on my OS or licensing issues with Windows Server 2003 Enterprise x64?  In other words, will Windows auto-recognize the change and be OK with it?

You should be able to, yes.

You may need to change the HAL (under Processors in Device Manager) if they are not properly detected.
