Do the following. (I have experianced this issue on a WinNT4 Server dealing with IIS4)

Uninstall IIS5.
Reboot the computer
Defrag the System.
Make sure that there is nothing left for chance.
(Meaning: Download and use a Registry Cleaner.
http://www.hoverdesk.net/freeware.htm
RegSeeker is my companies preferred Registry Cleaner)

Once you have cleaned your Registery.
Then Reinstall SP4 & SP4 Rollup.

Reboot the computer after each of the SP installs.

Then try to Install IIS5.
If this does not work.
Then you have a Driver problem,
Also.

Check in you Event Viewer, and see if you have any errors that were thrown up during the time
Of the Reboot?
If so, paste them Errors in here,
But still do the above as well.
