When I attempt to generate a private key (in order to ultimatly generate a csr) OpenSSL seems to hang. below is what I'm using and the results...

openssl genrsa -des3 -out domain.com.key 1024

returns:

Loading 'screen' into random state  -

That's it, it simply sits there the the loading line until you hit ctrl+c. I tried to different binaries for openssl, and have got the same result on both.

The server is running win2k3, with apache2
any help would be appriciated

Not really sure, but maybe openSSL waits for entropy to be filled for this request? Try moving mouse - this should produce some randomness entropy.
alternative: openssl genrsa -des3 -rand c:\path\to\big\and\random.file -out domain.com.key 1024
