Kernel Panic - Not Syncing

Hello,

I am relatively new to linux, but I am fairly comfortable with it.

I have a linux box running Cent OS 4.3 and it has been recently working fine.

We had a power outage the other day and after power came back--the linux box did not.

Upon boot it told me it had to do a filesystemcheck and then returned an error.

I went on the run fsck and that seemed to work, as the box started to reboot.

During that reboot we had another power surge and the linux box shut down once again.

After the second power outage, I am getting the following message:

exec of init (/sbin/init) failed!!!:13
unmount /initrd/dev failed:2
kernal panic - not syncing: attempted to kill init

from there it just hangs and rebooting does not fix the issue.

I do not have the rescue disk for Cent OS, but I do have knoppix 5.0.1 and the rescue disk from fedora core 6.
Can I use either one of these to run the filesystem checking tools again--or is that even necessary?

Any suggestions would be greatly appreciated.
