Computer Reboots. Need ideas asap

want some additional advice here...

Situation:

PC running windows XP PRO would go to a black screen.... be on but have nothing.  I popped case open and seen that the CPU fan was working but having a hard time.  Rebooted system and all is fine.... watch cpu fan after a few min start to slow waaaay down.  Error msg on screen saying CPU Fan is no longer working.  I replaced the heat sink and and fan.   System now boots up but at random will REBOOT.

Thought could be windows issue..... I tried safe mode and get reboots.  I borrowed an copy of ERD Commander... When Itry to boot up off it it start reboots to.

I am guessing that the CPU got damaged from the heat?  Is this what you all think?  Is it possible that that MOBO suffered damage as well?

After a few times of rebooting over and over (letting it do its thing) a BSD of shows up with 0x000000A  or 0x000000C2.

I have tried a new know working stick of PC33 memory and get same symptoms.

Board is an MS-6590  made by Microstar.  It is an older system.
