"Done, but with errors on page." - IE

What would cause a web page to make IE think there are errors on the page? I have an XHTML page that is valid (passed W3C validation) that IE keeps complaining about. When I read the error completely, it'll say something like,

Line: 37
Char: 1
Error: Invalid character
Code: 0

When I look at line 37, character 1, I see nothing odd.

Firefox does not complain about the page.
