migration of DC and services

I have a win2k server in a mixed AD enivironment that runs at a remote location.  The server is failing and it runs DNS / DHCP for that site.  I have a 2k3 server to replace it;

i understand that i need to install the new server and dcpromo it
then force AD to replicate to that server.
do i need to recreate the DNS and DHCP scope to the new one or will AD provide this?
what about the shares on the currrent DC?
i am also required to use the same IP and Name for the new server, so would i just dcpromo the old one out and remove the PC from AD and rename the new one?
Since its at a remote site does it need to be a GC box?  or will it take up the minimal t1 bandwidth with AD replication?
thanks for any help, forgive me i am coming into a new enviroment from Novell.
