Command needed to copy a directory on top of another directory?

I have a rails installation, and I'm supposed to copy another on top of it.

How do I copy one directory on top of another, replacing any duplicates but leaving anything that is not replicated?  There are MANY subdirectories in both folders, when I mv one folder on the other I get errors about directories already exist.
