ShellExecuteEx call blowing up

I'm trying to call one dialog program from another.  This worked fine using ShellExecute() but then I realized that I need to use ShellExecuteEx() because I want to hold up execution of the first program until the second closes.  But the ShellExecuteEx call blows up with a C0000005 memory access error.  My code is;

            SHELLEXECUTEINFO ShellExecuteInfo;

            str.Format("%d", i);      // get ascii for days left
            ShellExecuteInfo.cbSize = sizeof(SHELLEXECUTEINFO);
            ShellExecuteInfo.fMask = SEE_MASK_NOCLOSEPROCESS;
            ShellExecuteInfo.hwnd = NULL;            // NULL for local window
            ShellExecuteInfo.lpVerb = "open";
            ShellExecuteInfo.lpFile = "Buy.exe";            // in same directory as DF_Switch
            ShellExecuteInfo.lpParameters = str;
            ShellExecuteInfo.nShow = SW_SHOWNORMAL;

            ShellExecuteEx(&ShellExecuteInfo);

If I look at the assembly code and single step, I can see that it's the call() of the ShellExecuteEx command that blows up.  Yet the code compiles ok, so it seems to have found ShellExecuteEx() routine.  Does anyone know what might be going on here?
