Two potential big issues,

First the WinTV USB2 does not use a external power source,  and only works with a actual USB2 port.  The PVR model requires a plug in adapter,  so its not as portable but it will work with a USB 1.1 port at limited speed.

Second the PVR model provides a hardware encoder for MPEG.  This means the unit will do most of the work.  The WinTV USB2 does software encoding and requires the computer to do all the work,  it is really just provides a video input to the computer.

The WinTV-USB2 unit also work with other software like videoconferencing.  I do not believe the PVR model does as it does not provide a raw video input to the computer,  only MPEG.

Beyond this I think most of the functionality is similar.  The PVR model is equivalent to the PCI models.  The PVR also has a XP media centre option.
