Exchange Server 2007 will not install. Cannot find AD structure on master Server

When trying to install Exchange Server 2007 onto Server 2003 R2 64bit (as a secondary DC to SBS2003 w/ Exchange 2003), i get the following error.

the AD has propogated to the current server and everything seemed to flow good up to this point.

I have applied the SP2 to the SBS server w/ exchange 2003 that is going to be replaced.

Below is a log of what it says during its pre-check
