Adding a Win 2003 Server to a mixed W2k/Win03 domain

Here's the scenario:

Server #1 - Windows 2000 Server, domain controller, DNS server, DHCP server
Server #2 - Windows 2003 Server, Domain controller, Exchange 2003 Server
Server #3 - Windows 2003 Server, print server

We are in the process of taking server #1 offline, but are doing it over a period of time because of time constraints and production running. I am ready to promote servre #3 to a DC and demote server #1, but want to cover all my bases before doing so. I did a complete backup this morning incase anything goes wrong...I know all about Murphy's Law. :)

1) Since Server #2 has already been on the domain as a DC for a while, do I still need to run adprep before adding the second 2003 DC?
2) Is there any reason not to leave server #1 as the DNS and DHCP server temporarily?
3) Am I forgetting anything? :)
