1) Windows SharePoint Services conforms to the Windows Server 2003 license model.  Basically it is an extension of the server operating system so will follow your current licensing model.

2) Microsoft Office SharePoint Server ("MOSS") 2007 offers things such as, out of the box workflows, Excel services, Business Data Catalog, Enterprise Searching, My Sites, Records Management, Publishing ... way too much to list here.  I would recommend you start here: http://office.microsoft.com/en-us/products/FX101758691033.aspx?ofcresset=1

Thanks,

Actually in regard to question 2) there are two versions of MOSS 2007 (also referred to as Sharepoint Portal Server 2007 by some)  The standard edition and enterprise edition.  Excel Services, Business Data Catalog and InfoPath integration are all in the Enterprise edition (& well worth it)
