how about domain/forest prep? will this need to be run? I ask only because this is tnot the first Exchange 2003 on the domain, i am not sure if each exchange box needs this or just the first one?
Forestprep(modifies the AD) only needs to be run on the first Exchange server in that forest.
Domainprep(modifies the AD) only needs to be run on the first Exchange server in each domain.

So if you only had one forest with one domain and you already ran it then you will not need to run it again.

when i try to install the messaging and collaberation services i get an error that says;

the component "Microsoft exchange messaging and collaberation services" cannot be assigned the action istall because
- you do not have sufficient permissions in the domain. a domain admin must re-run "setup domainprep or create a recipient update service for this domain.

i am logged on as an enterprise admin, during this attempt.
ok so domainprep does need run again.

i am also getting a compatibility error that links me to go.microsoft.com/fwlink/?LinkId=37488
when i review this page, i meet all the requirements.   2003 standard 32, ram ect....

any ideas?
You said something about upgrade in your initial question.
Are you upgrading Exchange?
my mistake on the workding, i am migrating not upgrading.  2003 -2003 new hardware.

i just finished the install and i see the new server in the ESM.  how is it that i upgrade the new installation to SP2 ect?
You would just put in the Exchange SP 2 CD and run the setup on there...it will open a similar installation screen to the normal Exchange setup and upgrade Exchange.
i did not install the exchagne system tools, i think this is why i do not see the installation on the new server.....
Just a quick check....on the new server you did install the following windows components before running the setup?

WWW Publishing
SMTP
NNTP

You will need the System Tools yes. :)
yes sir.
when i move the logs and database i am following
http://support.microsoft.com/default.aspx?kbid=821915
however, on the databasae there is the "exchange database"  which i will move(should i create a folder to mover to or just drop on the root of the drive)???
and there is a "streaming database? not sure about this one....
