how do i transfer fsmo roles from a win2k seerver to a won2k3 server?

I'm looking for a step-by-step procedure.

To be clear, have you already added this 2K3 server into your AD domain?  If so, the transfer process is described here: http://www.petri.co.il/transferring_fsmo_roles.htm

If your question is actually "how do I add a 2k3 dc into a 2000 domain?", please specify, as that is an entirely different question with an entirely different answer.
As laura says if you have an existing 2003 server the procedure is outlined in that link or at http://support.microsoft.com/kb/324801

If you need to actually add the 2003 DC to the domain first then the procedure is:

Install Windows 2003 on another machine

Assign the new computer an IP address and subnet mask on the existing network

Make sure that the preferred DNS server on new machine points to the existing DNS Server on the Domain (normally the existing domain controller)

Join the new machine to the existing domain as a member server

Insert the Win2003 CD in the 2000 server
ADPREP /forestprep    and     ADPREP /DomainPrep  (ADPrep is in the i386 folder on the CD. NOTE if you have the 'R2' version of Server 2003 then use Adprep form the \CMPNENTS\R2\ folder on CD2.

Remove the CD drom the 2000 Server

Back on the 2003 machine, from the command line promote the new machine to a domain controller with the DCPROMO command from the command line Select Additional Domain Controller in an existing Domain

Once Active Directory is installed then its a good idea (though not essential) to make the new machine a global catalog server, go to Administrative Tools, Active Directory Sites and Services, Expand ,Sites, Default first site and Servers. Right click on the new server and select properties and tick the Global Catalog checkbox. (Global catalog is essential for logon as it needs to be queried to establish Universal Group Membership)

You can then transfer the FSMO roles as already described.
