What application are you trying to implement? What do you mean by insert/ overwrite mode?

Normal Windows Form Application.
Insert mode -> insert characters when user enter text in textbox control.
Overwrite mode -> overwrite characters when user enter text in textbox control.
Something like the Caps Lock and Num Lock function.
